terms of sale and licence
Upon completion of a written agreement provided by Rebecca Frick Photography, and receipt of full payment for the images, the client ("Client") will be granted a non-exclusive licence ("Usage Licence") to use the photographs ("Licensed Photographs") across the following channels:
- Client controlled websites;
- Client controlled social media accounts;
- Online advertisements/marketing by the Client;
- Direct emails to the Client's customers or potential customers;
- All print marketing materials created by the Client; and
- All submissions made by the Client for contests and awards
Rebecca Frick is and shall be the sole and exclusive owner of the copyright and all other right, title, and interest in and to the Licensed Photographs and any derivatives of the Licensed Photographs.
The Client shall have no right to share, distribute, resell, assign, or otherwise transfer the Licensed Photographs, the Usage Licence, or any of the rights under the Usage Licence to any other person or entity. The Photographer exclusively reserves such rights, the copyright, and all other rights, title, and interest in the Licensed Photographs.
The Client will not use, submit for consideration, or supply any of the Licensed Photographs for any editorial purpose (any use in articles, features, or other similar materials in online or print magazines or similar publications), without notice to, consent from, and involvement of Rebecca Frick. Rebecca Frick reserves the right to any potential fees that arise out of such use of the Licensed Photographs.
The rights granted under the Usage Licence are for a perpetual term, and exist over an unlimited geographical area.
The Client acknowledges and agrees that Rebecca Frick cannot be restricted by the Client or any third party from using the Licensed Photographs at any time, or in any manner.
The Client will immediately inform Rebecca Frick if it becomes aware of any third-party infringement of the Licensed Photographs.
Any unauthorized use of the Licensed Photographs by the Client will immediately void the grant of rights under the Usage Licence, and the Client will immediately cease to use the Licensed Photographs.
Rebecca Frick kindly requests that every effort be made to credit REBECCA FRICK PHOTOGRAPHY when using the Licensed Photographs.
These Terms of Sale and Licence are in conjunction with any other agreement the Client has in place with Rebecca Frick and they may be amended, restricted, or expanded by such other agreement.
The Client will be solely responsible for any taxes payable or collectible by any party, related to the payment for the Licensed Photographs.
